AmpliCircle Terms of Service

Effective Date: 19 June 2025

Welcome to the AmpliCircle website (the “Site”). These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you” or “User”) and Sole Proprietor Denys Titoruk (“AmpliCircle,” “we,” “us,” or “our”), a sole proprietorship duly registered in Ukraine, regarding your access to and use of the Site and any content, functionality, products, or services offered on or through the Site (collectively, the “Services”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site.


1. Definitions

  • “Content” – any text, graphics, images, audio, video, data, code, or other materials displayed on or made available through the Site.
  • “Sole Proprietor (FOP)” – a sole proprietorship (Ukr. фізична особа-підприємець) registered under the laws of Ukraine.

2. Eligibility & Account Registration

The Site is intended for users who are at least 18 years old and have the legal capacity to enter into these Terms. By using the Site, you represent and warrant that you meet these requirements. Certain areas or features of the Site may require you to create an account or provide information. You agree to provide accurate, complete, and up‑to‑date information and to maintain the confidentiality of your account credentials. You are responsible for all activities that occur under your account.

3. Scope of Services

The Site provides information about AmpliCircle’s monetization advisory and related services for digital publishers. All Content is provided for general informational purposes only. Nothing on the Site constitutes legal, financial, or professional advice. A separate written agreement governs the engagement of AmpliCircle’s professional services.

4. Intellectual Property

All Content and Intellectual Property Rights in and to the Site are owned by AmpliCircle or its licensors and are protected by Ukrainian and international copyright, trademark, and other intellectual‑property laws. You may view, download (for caching purposes only), and print pages from the Site for your own personal, non‑commercial use, provided that you retain all proprietary notices.

Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content without our prior written consent.

5. User Content & Feedback

You may submit comments, feedback, or other content to us (“User Content”). By submitting User Content, you grant AmpliCircle a worldwide, non‑exclusive, royalty‑free, perpetual, irrevocable license to use, reproduce, adapt, publish, translate, distribute, and display such content in any media. You represent that you have all necessary rights to grant this license and that your User Content does not infringe the rights of any third party or violate applicable law.

6. Acceptable Use

You agree not to:

  1. Use the Site in any way that violates any applicable law or regulation (including, without limitation, export control laws and sanctions);
  2. Engage in any fraudulent, deceptive, or misleading practices;
  3. Infringe upon or violate our intellectual‑property rights or the intellectual‑property rights of others;
  4. Transmit or upload viruses, malware, or other harmful code;
  5. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site or the server on which the Site is stored;
  6. Use any automated means (including spiders, robots, crawlers, or data‑mining tools) to access, scrape, or collect data from the Site without our prior written consent;
  7. Use the Site to harass, abuse, or harm another person.

7. Third‑Party Links

The Site may contain links to third‑party websites or resources. These links are provided for your convenience only, and we do not control or endorse any third‑party content. You acknowledge and agree that AmpliCircle is not responsible for the availability or accuracy of third‑party websites or resources and shall not be liable for any loss or damage arising from your use of them.

8. Disclaimer of Warranties

The Site and all Content are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, non‑infringement, or arising from course of dealing or usage of trade. We do not guarantee that the Site will be uninterrupted, secure, or error-free.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

To the fullest extent permitted by applicable law, AmpliCircle, its owner, employees, agents, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Site; (b) any conduct or content of any third party on the Site; or (c) unauthorized access, use, or alteration of your transmissions or content, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to defend, indemnify, and hold harmless AmpliCircle, its owner, employees, agents, contractors, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.

11. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Site shall be governed by and construed under the laws of Ukraine, without regard to its conflict‑of‑law principles. Any disputes shall be resolved by the competent courts of Ukraine, with exclusive jurisdiction in the courts of Kyiv, unless otherwise required by mandatory consumer‑protection laws.

If you are located in the European Union, you may also be entitled to submit a dispute for online resolution to the European Commission Online Dispute Resolution platform (ec.europa.eu/consumers/odr).

12. Modifications to the Terms & Site

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will post the updated Terms on this page and update the “Effective Date” above. Continued use of the Site after any such changes constitutes acceptance of the revised Terms.

We reserve the right to modify, suspend, or discontinue any aspect of the Site at any time without notice or liability.

13. Severability

If any provision of these Terms is held invalid or unenforceable under applicable law, that provision will be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and AmpliCircle regarding your use of the Site and supersede all prior understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter hereof.

15. Language

These Terms are drafted in English for convenience. If we provide a Ukrainian version, it shall prevail in the event of conflicts or discrepancies.
